Creator Agreement

This Creator Agreement (“Agreement”) is a legally binding contract between you (“Creator”, “Seller”, “you”) and NoLie, Inc. (“NoLie”, “we”, “us”, or “our”). This Agreement governs your use of the NoLie platform to create listings, sell items and experiences, receive payouts, and interact with fans.

This Agreement is incorporated into and subject to the NoLie Terms of Service (“Terms”). In the event of a conflict, the Terms control except where this Agreement explicitly governs creator-specific obligations.

By creating a Creator account or publishing a listing, you agree to this Agreement.

1. Eligibility & Account Requirements

To sell on NoLie, you must:

• Be at least 18 years old (or age of majority in your jurisdiction)
• Complete payout onboarding through Stripe or an approved payout partner
• Provide accurate tax, identity, and contact information
• Maintain an account in good standing

You may not create listings on behalf of another person or entity without authorization.

2. Marketplace Relationship

NoLie operates a technology marketplace.

Creators acknowledge that:

• You are the seller, not NoLie
• You transact directly with the winning bidder
• NoLie is not the merchant of record
• NoLie does not inspect, store, or ship items
• NoLie does not control fulfillment quality or timing

Creators operate as independent users, not employees, agents, or partners of NoLie.

3. Creator Responsibilities

3.1 Accurate Listings

Creators must provide truthful, complete, and non-misleading listings, including:

• Photos or media
• Item condition or experience scope
• Any limitations, requirements, or exclusions
• Timing expectations

The listing defines the scope of your obligation.

3.2 Fulfillment

Creators are solely responsible for fulfilling auctions, including:

• Shipping physical items securely and on time
• Delivering digital goods promptly
• Delivering experiences (FaceTime, Zoom, Discord, coaching, lessons, or similar) as described

If no timeframe is listed, fulfillment must occur within 14 days.

3.3 Communication

Creators must communicate reasonably and professionally with winning bidders.

Failure to respond or repeated delays may result in enforcement action.

3.4 Legal Compliance

Creators are responsible for:

• Taxes and reporting
• Customs and shipping compliance
• Safety and legality of items or experiences
• Ownership or licensing of all uploaded content
• Compliance with local, state, federal, and international laws

4. Experiences and Reasonable Use

For experiences, access-based offerings, and digital interactions:

• Creators are obligated only to what is explicitly described in the listing
• Fans may not require actions, content, or behavior beyond the listing
• Requests must remain reasonable and within community standards
• Creators may refuse unreasonable, inappropriate, or excessive requests

NoLie may determine whether an experience was fulfilled as described.

5. Prohibited Items & Activities

Creators may not list or sell:

• Weapons, firearms, ammunition, explosives
• Drugs or controlled substances
• Adult or explicit content or services
• Hate speech or violent content
• Stolen or counterfeit items
• Items requiring licenses you do not possess
• Fraudulent or misleading listings
• Anything illegal in the creator’s or bidder’s jurisdiction

NoLie may remove listings or accounts that violate these rules.

6. Auctions, Bids, and Delivery

Creators agree that:

• Winning bids are final
• Auctions may not be modified after a winning bid
• Shill bidding is prohibited
• Off-platform transactions related to NoLie listings are prohibited

Failure to fulfill may result in:

• Payout reversal
• Account suspension
• Permanent removal
• Legal liability

7. Fees & Payouts

7.1 Platform Fee

NoLie charges a platform fee on each successful auction (currently 20%, subject to change).

7.2 Payout Timing

Creators acknowledge that:

• Payouts are not immediate
• Payouts occur after the delivery confirmation and holding period
• Payouts may be delayed for disputes, fraud review, or compliance checks

7.3 Withholding and Reversals

NoLie may withhold or reverse payouts if:

• An item or experience is not delivered
• A dispute or chargeback is opened
• Fraud or misconduct is suspected
• This Agreement or the Terms are violated
• Required tax documentation is missing

If a refund is issued due to creator fault, NoLie may offset future payouts or recover funds.

8. Intellectual Property

Creators retain ownership of their content but grant NoLie a worldwide, royalty-free, sublicensable license to use, display, reproduce, and promote content to operate and market the Platform.

Creators represent that they have all rights necessary to grant this license.

9. Taxes

Creators are solely responsible for:

• Income reporting
• Tax filings
• VAT, GST, sales tax, or similar obligations

NoLie may issue tax forms where required by law.

10. Disputes and Refunds

Disputes and refunds are governed by the Refund Policy, which is incorporated by reference.

NoLie may:

• Request evidence
• Pause payouts
• Refund bidders
• Enforce penalties

Creators agree that NoLie’s determinations are final.

11. Account Suspension & Termination

NoLie may suspend or terminate Creator accounts for:

• Fraud or abuse
• Failure to fulfill
• Repeated disputes
• Policy violations
• Illegal activity

Outstanding payouts may be withheld until issues are resolved.

12. Indemnification

Creators agree to indemnify and hold harmless NoLie from claims arising from:

• Listings
• Fulfillment failures
• Misrepresentation
• IP violations
• Tax issues
• Legal violations
• Breach of this Agreement

13. Limitation of Liability

To the maximum extent permitted by law:

• NoLie is not liable for indirect or consequential damages
• NoLie’s total liability is limited to the greater of:
• $100 USD, or
• Fees paid to NoLie by the Creator in the last 12 months

14. Governing Law & Arbitration

This Agreement is governed by the laws of Delaware, USA.

All disputes shall be resolved by binding arbitration through the AAA.

Creators waive the right to participate in class actions.

15. Changes to This Agreement

NoLie may update this Agreement from time to time.

Material changes will be communicated via the Platform.

Continued use constitutes acceptance of updated terms.
