Seller Agreement

Please read this carefully before using NoLie.

Effective Date: March 1, 2026

This Seller Agreement ("Agreement") is a legally binding contract between you ("Seller", "you") and NoLie, Inc. ("NoLie", "we", "us", or "our"). This Agreement governs your use of the NoLie platform to create listings, sell physical collectible items, and receive payouts.

This Agreement is incorporated into and subject to the NoLie Terms of Service ("Terms"). In the event of a conflict, the Terms control except where this Agreement explicitly governs seller-specific obligations.

By creating a Seller account or publishing a listing, you agree to this Agreement.

1. Eligibility and Account Requirements

To sell on NoLie, you must:

  • Be at least 18 years old (or age of majority in your jurisdiction)
  • Complete payout onboarding through Stripe or an approved payout partner
  • Complete identity verification as required by NoLie
  • Provide accurate tax, identity, and contact information
  • Maintain an account in good standing

You may not create listings on behalf of another person or entity without authorization.

2. Marketplace Relationship

NoLie operates a technology marketplace.

Sellers acknowledge that:

  • You are the seller, not NoLie
  • You transact directly with the winning bidder
  • NoLie is not the merchant of record for third-party listings
  • NoLie does not inspect, store, or ship items unless acting as seller of record
  • NoLie does not control fulfillment quality or timing

Sellers operate as independent users, not employees, agents, or partners of NoLie.

3. Seller Responsibilities

3.1 Accurate Listings

Sellers must provide truthful, complete, and non-misleading listings, including:

  • Clear photographs of the actual item being sold (stock photos are not permitted)
  • Card name, set, year, and any other identifying details
  • Grading company and grade (if applicable)
  • Condition description and any known defects or damage
  • Any limitations, requirements, or exclusions

The listing defines the scope of your obligation.

3.2 Authenticity

Sellers represent and warrant that all items listed are authentic and not counterfeit, forged, trimmed, resealed, altered, or misrepresented in any way. Listing counterfeit items may result in immediate and permanent account termination and may be reported to law enforcement.

3.3 Fulfillment

Sellers are solely responsible for fulfilling auctions, including:

  • Shipping physical items securely and with tracking
  • Packaging items appropriately to prevent damage in transit
  • Using the shipping label provided by NoLie when available

If no timeframe is specified, fulfillment must occur within 3 business days of payment confirmation.

3.4 Communication

Sellers must communicate reasonably and professionally with winning bidders. Failure to respond or repeated delays may result in enforcement action.

3.5 Legal Compliance

Sellers are responsible for:

  • Taxes and reporting (including 1099 obligations)
  • Customs and shipping compliance
  • Legality of all items listed
  • Ownership of all items listed
  • Compliance with local, state, federal, and international laws

3.6 Tax Exemption and Resale Certification

Sellers who purchase items on the Platform for resale may apply for sales tax exemption by uploading a valid resale certificate or seller's permit during account registration or at any time through their account settings.

To qualify for resale-exempt purchasing, sellers must:

  • Hold a valid seller's permit or resale certificate issued by their state of operation
  • Upload a copy of the certificate during onboarding or through account settings
  • Ensure the certificate remains current and notify NoLie of any changes to their tax-exempt status
  • Use the resale exemption only for items genuinely intended for resale

NoLie will verify submitted documentation and tag qualifying accounts as resale-exempt. Verified accounts will not be charged sales tax on purchases made through the Platform.

Misuse of the resale exemption — including purchasing items for personal use under a resale certificate — is prohibited and may result in account termination. The seller is solely liable for any uncollected sales tax, penalties, and interest resulting from misuse. NoLie retains all resale certificates as required by applicable state law and may share this documentation with state tax authorities upon request.

4. Prohibited Items and Activities

Sellers may not list or sell:

  • Counterfeit, replica, or forged items
  • Trimmed, altered, or resealed items not disclosed as such
  • Stolen property
  • Weapons, firearms, ammunition, explosives
  • Drugs or controlled substances
  • Hate speech or violent content
  • Items requiring licenses you do not possess
  • Fraudulent or misleading listings
  • False, expired, or fraudulent tax exemption documentation
  • Anything illegal in the seller's or buyer's jurisdiction

NoLie may remove listings or accounts that violate these rules.

5. Auctions, Bids, and Delivery

Sellers agree that:

  • Winning bids are final and create a binding obligation to fulfill
  • Auctions may not be modified after bids have been placed
  • Shill bidding (bidding on your own items or coordinating bids) is strictly prohibited and may result in immediate permanent account termination
  • Off-platform transactions related to NoLie listings are prohibited

Failure to fulfill may result in:

  • Payout reversal
  • Account suspension
  • Permanent removal
  • Legal liability

6. Fees and Payouts

6.1 Platform Fees

NoLie charges a seller fee on each successful auction. The current fee schedule is disclosed at the time of listing and may change with notice. A buyer premium may also apply to transactions. Fee schedules are published on the Platform.

6.2 Payout Timing

Sellers acknowledge that:

  • Payouts are not immediate
  • Payouts occur after delivery confirmation and the applicable dispute window has closed
  • Payouts may be delayed for disputes, fraud review, or compliance checks

6.3 Withholding and Reversals

NoLie may withhold or reverse payouts if:

  • An item is not delivered
  • A dispute or chargeback is opened
  • Fraud or misconduct is suspected
  • An item is determined to be counterfeit or materially misrepresented
  • This Agreement or the Terms are violated

7. Intellectual Property

By uploading photos, descriptions, or other content, you grant NoLie a non-exclusive, royalty-free, worldwide license to use that content for operating and promoting the Platform.

You represent that you own or have the right to use all content you upload.

8. Indemnification

Sellers agree to indemnify and hold harmless NoLie from any claims, damages, losses, or expenses arising out of: listings, fulfillment, authenticity disputes, shipping issues, tax obligations or misrepresentation of tax-exempt status, legal violations, or any breach of this Agreement.

9. Termination

Either party may terminate this Agreement at any time. NoLie may suspend or terminate your Seller account immediately for policy violations, fraud, or any conduct that harms the Platform or its users.

Upon termination, you remain responsible for all pending orders and obligations. NoLie may withhold payouts for pending disputes or compliance review.

10. Modifications

NoLie may update this Agreement at any time. Material changes will be communicated via email or Platform notification. Continued use after changes take effect constitutes acceptance.

11. Governing Law

This Agreement is governed by the laws of the State of Delaware, consistent with the Terms of Service.
