Terms of Service

Please read this carefully before using NoLie.

Welcome to NoLie ("NoLie", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the NoLie website, mobile application, auction marketplace, and related services (collectively, the "Platform"). NoLie is operated by NoLie, Inc., a Delaware C-Corporation.

By creating an account, placing a bid, creating a listing, purchasing an item, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, do not use NoLie.

1. Incorporation of Policies

These Terms incorporate by reference the following: the Privacy Policy, the Refund Policy, and any additional policies or rules posted on the Platform. If a conflict exists between these Terms and a specific Policy, the Policy controls for that subject matter.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction), have legal capacity to enter into binding agreements, and not be prohibited from using the Platform under applicable law. The Platform is designed primarily for vendors, businesses, and professional sellers of collectibles and trading cards. Individual collectors and consumers may also participate where permitted by NoLie. By registering as a business or uploading tax exemption documentation, you represent that you are operating in a commercial capacity for those purposes. NoLie may refuse or restrict access at its sole discretion for legal, compliance, fraud, safety, or operational reasons.

3. Platform Role and Structure

3.1 Marketplace Intermediary

NoLie operates a technology platform that enables auctions of physical collectible items between independent vendors. NoLie is not the seller in third-party transactions. NoLie is not an agent, broker, partner, or representative of any user. NoLie does not control or supervise fulfillment of third-party sales. Transactions occur directly between Buyers and Sellers.

3.2 NoLie as Seller of Record

In certain cases, NoLie may directly list items on the Platform. For those specific listings only, NoLie acts as the seller of record and assumes seller obligations consistent with applicable law. All other listings remain third-party transactions.

4. Accounts and Security

Users must provide accurate and current information, maintain confidentiality of login credentials, and notify NoLie immediately of unauthorized access. Accounts may not be transferred, sold, or reassigned without written consent. NoLie may suspend or terminate accounts at its discretion.

5. Listings and Seller Obligations

5.1 Listing Requirements

Sellers agree to accurately describe all items, including but not limited to: card name, set, year, condition, grading company and grade (if applicable), and any known defects or damage. Listings must include clear, accurate photographs of the actual item being sold. Stock photos are not permitted.

5.2 Authenticity

Sellers represent and warrant that all items listed are authentic and not counterfeit, forged, trimmed, altered, or misrepresented in any way. Sellers are solely responsible for the authenticity and condition of items listed. NoLie reserves the right to remove any listing and suspend any account if authenticity is questioned.

5.3 Fulfillment

Sellers must ship items within the timeframe specified on the Platform (default: 3 business days after payment confirmation). Items must be packaged securely and shipped with tracking. Failure to fulfill orders may result in penalties, account suspension, or permanent removal from the Platform.

5.4 Prohibited Items

The following may not be listed: counterfeit or replica items, stolen property, items that violate any law or regulation, items that infringe on third-party intellectual property rights, and any non-physical or digital goods unless explicitly authorized by NoLie.

6. Auctions and Binding Bids

6.1 Binding Nature of Bids

All bids placed on the Platform are binding and may not be withdrawn once placed. By placing a bid, you are entering into a binding commitment to purchase the item at the bid price if you are the winning bidder.

6.2 Automatic Payment Authorization

By placing a bid, you authorize NoLie and its payment providers to store payment information, verify funds, and charge your payment method if you win. Failure to complete payment may result in account suspension.

6.3 Auction Rules

Auctions are subject to the rules displayed on each listing, including starting price, reserve price (if any), auction duration, and bid extension rules. NoLie reserves the right to cancel any auction at any time for any reason, including suspected fraud, shill bidding, or policy violations.

6.4 Shill Bidding

Shill bidding (bidding on your own items or coordinating with others to artificially inflate prices) is strictly prohibited and may result in immediate and permanent account termination.

7. Payments, Fees, and Payouts

7.1 Payment Processing

Payments are processed through third-party providers (including Stripe). All purchases are charged at the time the auction closes or at the time of purchase for fixed-price listings.

7.2 Fees

Platform fees apply to successful transactions and are disclosed at the time of listing and purchase. Fee schedules may change with notice. Fees are non-refundable except as required by law.

7.3 Buyer Premium

A buyer premium may be applied to the winning bid amount. The buyer premium percentage is disclosed on each listing prior to bidding.

7.4 Payouts

Seller payouts are initiated after the buyer confirms receipt or after the applicable return/dispute window has closed, whichever comes first. NoLie may hold, delay, or reverse payouts, offset future payouts, or withhold funds for disputes, compliance review, or suspected fraud. Sellers are responsible for all applicable taxes, reporting, and regulatory compliance.

7.5 Tax-Exempt Purchasing

Sellers who hold a valid state sales tax reseller's permit or equivalent exemption certificate may upload that documentation to their account. Upon verification by NoLie, qualifying purchases made through the Platform may be processed on a tax-exempt basis, consistent with applicable state law.

By uploading a seller's permit or exemption certificate, you represent and warrant that (a) the documentation is current, valid, and accurate; (b) you are purchasing items for resale in the ordinary course of your business; and (c) you will comply with all applicable tax laws governing resale and use of tax-exempt purchases.

NoLie's acceptance of exemption documentation does not constitute tax advice, and NoLie makes no representation that any particular transaction qualifies for tax-exempt treatment under applicable law. Each user is solely responsible for determining their own tax obligations, maintaining accurate records, and complying with all federal, state, and local tax laws. NoLie shall have no liability for any taxes, penalties, or interest assessed against any user.

8. Shipping and Delivery

Sellers are responsible for shipping items securely with tracking to the address provided by the buyer. Risk of loss transfers to the buyer upon confirmed delivery by the carrier. NoLie is not responsible for items lost, stolen, or damaged in transit, except where NoLie is acting as seller of record. NoLie may provide shipping labels or recommended carriers but assumes no liability for carrier performance.

9. Physical Items and Condition

All items sold on the Platform are physical goods. Sellers are responsible for accurately representing the condition of all items. Buyers should carefully review all listing photos and descriptions before bidding. Items sold as graded are represented as received from the applicable grading company. NoLie does not independently verify grades unless acting as seller of record.

10. Prohibited Conduct

Users may not: list counterfeit, illegal, or regulated items; engage in fraud, shill bidding, or misrepresentation; violate payment processor rules; harass or threaten other users; manipulate auction outcomes; create multiple accounts to circumvent restrictions; submit false, expired, or fraudulent tax exemption documentation; or upload infringing content. NoLie may remove listings or accounts at its sole discretion.

11. Refunds and Disputes

Refunds and disputes are governed by the Refund Policy. NoLie retains final decision-making authority regarding dispute outcomes on the Platform. Both buyers and sellers agree to cooperate in good faith with any dispute resolution process.

12. Intellectual Property

NoLie retains all rights to Platform software, design, and branding. Users grant NoLie a non-exclusive, royalty-free, worldwide license to use uploaded content (including photographs and listing descriptions) for operating and promoting the Platform.

13. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." NOLIE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NOLIE MAKES NO GUARANTEE REGARDING EARNINGS, PLATFORM UPTIME, USER CONDUCT, AUCTION OUTCOMES, OR THE AUTHENTICITY, QUALITY, OR LEGALITY OF ITEMS LISTED BY THIRD-PARTY SELLERS. NOLIE MAKES NO REPRESENTATION THAT TAX-EXEMPT TREATMENT WILL BE APPROVED OR SUSTAINED UNDER APPLICABLE LAW, AND DISCLAIMS ALL LIABILITY RELATED TO USER TAX OBLIGATIONS.

14. Limitation of Liability

To the maximum extent permitted by law: NoLie shall not be liable for indirect or consequential damages, personal injury, property damage, lost profits, or reputational harm. NoLie's total liability shall not exceed the greater of $100 USD or fees paid to NoLie by the claimant in the preceding 12 months.

15. Indemnification

Users agree to indemnify and hold harmless NoLie, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising out of: listings, fulfillment, authenticity disputes, tax obligations or misrepresentation of tax-exempt status, legal violations, or third-party rights infringement related to the user's use of the Platform.

16. Governing Law and Arbitration

These Terms are governed by the laws of the State of Delaware. Disputes shall be resolved by binding arbitration administered by the American Arbitration Association. Class actions are waived. Users may opt out of arbitration within 30 days of account creation by notifying NoLie in writing.

17. Force Majeure

NoLie is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, pandemics, government actions, or infrastructure failures.

18. Modifications

NoLie may update these Terms at any time. Material changes will be communicated via email or Platform notification. Continued use after changes take effect constitutes acceptance.
